VELVET HAIR CLUB WHOLESALE TERMS & CONDITIONS

These Wholesale Terms & Conditions (“Wholesale Terms”) apply to wholesale purchases made from Velvet Hair Club (“Velvet Hair Club,” “VHC,” “we,” “us,” or “our”) by approved wholesale customers.
These terms are intended for salons, hairstylists, beauty-supply stores, retailers, entrepreneurs, and other qualified businesses purchasing Velvet Hair Club products for resale or business use.
By applying for wholesale access or placing a wholesale order, you agree to these Wholesale Terms.
1. WHOLESALE ELIGIBILITY
Wholesale purchasing is available to approved businesses and qualified professionals.
Potential wholesale customers may include:
- salons;
- hairstylists;
- beauty-supply stores;
- hair retailers;
- beauty entrepreneurs;
- online retailers;
- licensed beauty professionals; and
- other businesses approved by Velvet Hair Club.
We may request information such as:
- business name;
- business address;
- website;
- social-media account;
- resale information;
- tax information;
- business registration information; and
- other information reasonably necessary to verify the business.
Approval is not guaranteed.
Velvet Hair Club may approve, decline, suspend, or terminate wholesale access at its discretion, subject to applicable law and any existing contractual obligations.
2. WHOLESALE PRICING
Wholesale prices are available only to approved wholesale customers.
Wholesale pricing may change from time to time.
The price applicable to an order is the wholesale price presented or confirmed at the time the order is accepted.
Wholesale pricing may vary according to:
- product;
- length;
- texture;
- quantity;
- availability;
- customization;
- packaging requirements; and
- other applicable commercial terms.
3. MINIMUM ORDER REQUIREMENTS
Velvet Hair Club may establish minimum order quantities or minimum order values for wholesale purchases.
Where a minimum is applicable, it will be communicated during the wholesale application or ordering process.
Different products or collections may have different minimum requirements.
4. PAYMENT
Unless separate written credit terms have been approved, wholesale orders must be paid in full before fulfillment.
Accepted payment methods will be communicated during ordering.
Velvet Hair Club may require payment verification before beginning fulfillment.
A wholesale customer may not deduct amounts from an invoice or withhold payment without written authorization from Velvet Hair Club.
5. TAXES & RESALE CERTIFICATES
Wholesale customers are responsible for applicable sales taxes, use taxes, and other taxes associated with their purchases unless a valid exemption applies.
A customer purchasing taxable products for resale may provide an appropriate resale certificate where permitted by applicable law.
For Texas transactions, the Texas Comptroller explains that a properly completed Texas Sales and Use Tax Resale Certificate may allow a taxable item purchased for resale to be exempt from sales tax, provided the requirements are met.
Velvet Hair Club may request appropriate documentation before treating an order as tax-exempt.
A wholesale customer’s sales-tax obligations relating to its subsequent retail sales remain the responsibility of the wholesale customer.
6. RESALE
Wholesale customers may resell Velvet Hair Club products in accordance with applicable laws and these Wholesale Terms.
Wholesale customers are responsible for:
- their own retail pricing;
- advertising;
- customer service;
- business licensing;
- tax obligations;
- product handling;
- storage;
- installation services;
- representations made to their customers; and
- compliance with applicable laws.
A wholesale customer may not make false, misleading, or unauthorized claims about Velvet Hair Club products.
7. NO AGENCY OR PARTNERSHIP
Purchasing products wholesale does not create:
- a partnership;
- joint venture;
- franchise;
- employment relationship;
- agency relationship;
- fiduciary relationship; or
- exclusive distributorship
between Velvet Hair Club and the wholesale customer.
Unless expressly agreed in writing, the wholesale customer is an independent purchaser and reseller.
8. BRAND & TRADEMARK USE
Approved wholesale customers may use approved Velvet Hair Club product names, descriptions, and marketing assets solely for the purpose of accurately marketing and selling genuine Velvet Hair Club products.
Wholesale customers may not:
- alter the Velvet Hair Club logo;
- create a confusingly similar logo;
- imply that they own Velvet Hair Club;
- register Velvet Hair Club trademarks;
- represent themselves as Velvet Hair Club;
- imply an unauthorized exclusive relationship; or
- use VHC branding in a misleading manner.
Any approved brand assets must be used according to Velvet Hair Club’s brand guidelines.
9. PRODUCT INSPECTION
Wholesale customers should inspect products promptly after delivery.
Any visible shortage, incorrect item, shipping damage, or apparent defect should be reported within [48 hours / 3 business days] of delivery.
The customer should provide photographs and other supporting information when requested.
Failure to report an issue within the stated period may affect the ability to investigate or resolve the claim, subject to applicable law.
10. WHOLESALE RETURNS
Wholesale returns require prior written authorization.
Products must generally be:
- unused;
- uninstalled;
- unwashed;
- uncolored;
- unbleached;
- unaltered;
- uncut;
- in original packaging; and
- in a condition suitable for resale.
Products that have been resold, installed, processed, colored, cut, washed, altered, or otherwise used generally cannot be returned.
Custom, special-order, customized-color, private-label, or customized-packaging orders may be non-returnable once production begins.
11. ORDER CANCELLATIONS
A wholesale order may not be cancelled after fulfillment, customization, production, or special sourcing has begun unless Velvet Hair Club agrees otherwise in writing.
Cancellation requests should be submitted as soon as possible.
Where a cancellation is approved, any applicable refund may be subject to deductions for costs already incurred, including customization, special sourcing, payment processing, shipping, or other non-recoverable costs, to the extent permitted by law.
12. CUSTOM & PRIVATE-LABEL ORDERS
Where Velvet Hair Club agrees to provide customized products, customized packaging, private-label products, custom colors, or other specially produced merchandise, the parties may agree to separate written specifications.
The customer is responsible for reviewing and approving:
- product specifications;
- quantities;
- colors;
- branding;
- packaging;
- artwork;
- labeling;
- pricing; and
- other applicable specifications
before production begins.
Once production begins, changes or cancellations may not be permitted.
13. SHIPPING
Wholesale shipping arrangements may differ from consumer orders.
Shipping costs, processing times, minimum quantities, and carrier arrangements may be provided at the time of the wholesale order.
Large orders may require additional processing time.
14. INVENTORY & AVAILABILITY
Wholesale products are subject to availability.
Velvet Hair Club does not guarantee continuous availability of every texture, length, color, construction, or product.
If an ordered product becomes unavailable, we may contact the wholesale customer regarding:
- an alternative product;
- delayed fulfillment; or
- cancellation and applicable refund.
We will not substitute materially different merchandise without the customer’s agreement.
15. WHOLESALE PRICING CONFIDENTIALITY
Wholesale pricing provided to approved wholesale customers is intended for the recipient’s business use.
Wholesale customers should not publicly distribute confidential wholesale price lists or provide them to unauthorized third parties without written permission from Velvet Hair Club.
This does not prevent a customer from making disclosures required by law.
16. RETAIL PRICING
Unless Velvet Hair Club expressly provides a separate written agreement, wholesale customers are responsible for setting their own resale prices.
Nothing in these Wholesale Terms establishes a mandatory resale price.
Velvet Hair Club may provide suggested retail pricing for guidance, but wholesale customers remain responsible for their own pricing decisions.
17. INTELLECTUAL PROPERTY
All Velvet Hair Club trademarks, logos, product photography, written content, marketing materials, and other intellectual property remain the property of Velvet Hair Club or its licensors.
Wholesale purchasing does not transfer ownership of any intellectual property.
18. CUSTOMER REPRESENTATIONS
By applying for or purchasing under the wholesale program, the customer represents that:
- the business information provided is accurate;
- the customer has authority to enter into the transaction;
- products will be handled appropriately;
- applicable laws will be followed;
- any resale documentation submitted is accurate;
- the customer will not knowingly misrepresent Velvet Hair Club products; and
- the customer will not use VHC branding in a deceptive or unauthorized manner.
19. SUSPENSION OR TERMINATION OF WHOLESALE ACCESS
Velvet Hair Club may suspend or terminate wholesale access where reasonably necessary, including circumstances involving:
- fraudulent activity;
- repeated payment failures;
- misuse of brand assets;
- unauthorized distribution of confidential pricing;
- material violation of these Wholesale Terms;
- misleading representations about Velvet Hair Club;
- unlawful conduct; or
- other circumstances permitted by applicable law.
Termination does not eliminate payment obligations arising before termination.
20. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Velvet Hair Club will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from a wholesale transaction.
Nothing in these Wholesale Terms excludes liability that cannot legally be excluded.
21. GOVERNING LAW
These Wholesale Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law provides otherwise.
22. CHANGES TO WHOLESALE TERMS
Velvet Hair Club may update these Wholesale Terms periodically.
The version applicable to an order will generally be the version in effect when the order is accepted, unless otherwise agreed in writing.
23. SEVERABILITY
If any provision of these Wholesale Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
